B | 2026 年上半年，公司“AI+云计算”业务实现收入约 2.04 亿元，同比增长约 550%，总资产较上年年末增加约 106%。

C | 本次采购，有利于进一步扩大云计算业务规模，有利于推进公司技术产品研发，深度融入云计算产业生态链，系公司落地人工智能战略、持续推进业务升级转型的重要布局。本次购买设备成交金额为参照市场价格并经双方协商确认，价格合理、公允，不存在影响公司及全体股东利益的情形。

D |          本次设备采购合同的履行需要投入大量资金，公司将通过自有资金、金融机构融资等多种方式筹措，若未来市场利率发生变动，导致财务费用超出预期，将对公司利润产生一定影响。

E | 同时，可能存在因公司资金筹措未到位等情况，致使公司无法按合同约定的时间和要求提供服务，进而可能承担违约责任的风险。         值得关注的是，截至7月20日收盘，杰创智能股价报收55.56元/股，市值跌至85.40亿元。

F |          此外，当日杰创智能宣布将回购公司股份1500万元~3000万元。
